Service Provider's User Agreement

AGREEMENT BETWEEN YOU AND EZHOMEESTIMATES; CERTAIN DEFINITIONS

In consideration of EZhomeEstimates accepting the Service Provider's request to participate in EZhomeEstimates Professional Network ("EZ-HE Pro Network"), You must read, accept and agree to comply with these Terms of Use, which will govern your use of EZhomeEstimates Services. THESE TERMS OF USE CONSTITUTE A BINDING LEGAL AGREEMENT BETWEEN YOU AND EZHOMEESTIMATES. BY ACCEPTING THE TERMS AND CONDITIONS OF THIS AGREEMENT, THE COMPANY ACKNOWLEDGES IT HAS READ, UNDERSTANDS AND AGREES TO BE BOUND BY ALL OF THE TERMS, CONDITIONS, AND NOTICES CONTAINED IN THIS AGREEMENT JUST AS IF YOU HAD SIGNED THIS AGREEMENT.

IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS OF USE, DO NOT REGISTER TO PARTICIPATE IN EZHOMEESTIMATES “PROFESSIONAL NETWORK”

MODIFICATIONS

EZ-HE reserves the right, at its sole discretion, to modify or restate the Terms and Conditions of this Agreement, including any other documents incorporated by reference herein at any time and without prior notice. Such modification(s) will be effective immediately upon being posted on the Website. EZ-HEwill make note of the date of the last update to the Agreement on the first page of this Agreement. The Service Provider is responsible for reviewing these terms and conditions regularly. The Company's continued use of the Services after such modifications will be deemed to be the Company's conclusive acceptance of all modifications to this Agreement.

The following words have the following meanings:

"EZ-HE" means EZhomeEstimates (sometimes referred as "we", "us" or "our"), a subsidiary of Financial Wellness Solutions, LLC. ("FWS, LLC.");

"Team EZ" means staff member or representative that includes, but not limited to; any employees, representatives, administrative staff, owners, partners, FWS, LLC or affiliates.

"Website's" means EZ-HE website, mobile app, processes and related software;

"Customer" means an EZ-HE account holder registered by email address or other login information that is submitted through our website or mobile app in connection with all of EZ-HE's services, including EZ Handyman, EZ Home Program EZ Quickbid, and EZ Corporate services;

"Services" means services provided by EZ-HE and/or EZ-Rep, including, but not limited to meeting with customer to discuss, note and collect information on project details of subject property and/or specific area to be included in project Bid Package, including, but not limited to project scope, measurements, floorplan(s), images/pics, video, audio, and the information contained therein;

"Service Provider", (sometimes referred as “Company”, "you", "your" or “you're”) means Professional Companies, person's who as an EZ-HE account holder is authorized to participate in EZ's Pro Network. Companies and/or Professionals include, but are not limited to: professional contractor, subcontractor, company representative(s), salesman, wholesaler or supplier of any and all trades including, but not limited to; Electrician, Carpenter, Genral Contractor, Project Manger, Estimator, Designer, Interior Decorator, Architect or Engineer who has registered, therefore has agreed to the terms specified in this User agreement;

“EZ-HE Pro Network” means group of Service Providers, registered EZ-HE account holders, eligible to receive, analyze and estimate Bid packages for consideration of being selected and/or hired, soley based on the due diligence and at the discretion of the customer(s);

"Bid Package" means detailed information of customer project(s) that's emailed to Service Providers to estimate/bid on for the opportunity of being hired for said project;

"BP Content" means information of subject project contained in Bid Package, including without limitation; subject property and/or area, measurements, notes, instructions, specifications, guidlines, summaries, drawings, sketches, floorplans, tips, advice supporting materials, as well as all other text, images, pics, video content, audio content and audio-visual content;

"Estimate" or "Bid" means the price a Service Provider submits to perform all necessary tasks in completing said project detailed in Bid Project.

has throughly reviewed and analyzed Bid Package for subject project, has agreed to specific terms outlined for the subject project and submits price/estimate directly to EZ-HE and/or EZ-Rep for customers review and hiring consideration,

"Winning Bid" means Service Provider selected by customer(s) for Subject Project/Bid Package,

"Images" means the photos, video and other data taken by or provided to EZhomeEstimates or EZ-Rep in connection with a Customer's project(s) and use of EZ-HE Website Services;

"Property Information" means Information pertaining to customers project that includes, but not limited to; Images, Property Floorplans, Measurements and Reports and the information contained therein;

"Property Location" means specific location address for subject project,

TERMS AND CONDITIONS:

1. By agreeing to the Terms and Conditions of this Agreement, EZ-HE grants the Service Provider limited access to EZ-HE's services, customers project details and information. This Agreement relates specifically to Service Providers that create an account to participate in the EZ-HE Pro Network. Notwithstanding the foregoing, the Service Provider acknowledges and agrees that it will not access, reproduce, duplicate, copy, sell, re-sell, visit or otherwise exploit any of the content therein including, without limitation, any Customer Content or any Customer info, EZ-HE Pro Network Service Provider profiles or Services for any commercial or other purpose, without the express written consent of EZ-HE

GENERAL DISCLAIMER AND LIMITATION OF LIABILITY:

Service Provider acknowledges and agrees that EZ-HE/TeamEZ simply acts as a passive conduit of information pertaining to a customer's project, that's sorted and organized in the form of a Bid Package, which is sent to Service Providers registered in EZ-HE's Pro Network, in an effort to obtain multiple estimates for customers subject project(s). Simultaneously, EZ-HE provides Service Providers the opportunity to review BP Content and have three (3) business days to submit a bid/estimate to EZ/HE. Multiple bids are collected and emailed to customer(s) all bids to customer to review on projects received from EZ-HE at no cost. Applicable fee's apply and paid to EZ-HE, only to those Service Providers who, at the sole discretion of the customer(s) are officially and/or contractually hired to undertake said project from start to completion, at which all applicable fees, outlined in EZ-HE's fee agreement is deemed authorized and obligated to be paid by Service Provider.

The Service Provider understands that EZ-HE /Team EZ are not professional contractors, nor do we claim to have the knowledge, skill or "know how" of any professional trade, therefore EZ-HE/Team EZ does not guarantee the accuracy of any and all BP Content contained in any and all Project Bid Packages delivered for bidding. You further acknowledge that construction, renovation and/or repair requires additional information and knowledge than that provided in EZ-HE's Bid Packaage and that you, under any circumstance will not rely soley on EZ-HE's BP Content with respect to any construction, renovation and/or repair project.

Service Provider acknowledges, understands and agrees, prior to the signing of a customer service contract and/or agreement, it is the obligation and sole responsibility of the Service Provider to review and confirm ALL BP Content contained in each project Bid Package with Customer(s), including, but not limited to: subject property and/or area, all measurements, notes, instructions, specifications, guidlines, summaries, drawings, sketches, floorplans, tips, advice supporting materials, as well as all other text, images, pics, video content, audio content and audio-visual content. Any and all contracts signed by customer(s) will be under the assumption that all BP Content contained in the Bid Package has been reviewed and confirmed, any and all changes or corrections made were discussed, acknowledged and agreed by customer(s) and service provider prior to start of said project.

Without limitation to the generality of the foregoing, you acknowldege that EZ-HE/Team EZ is not acting as your broker or agent and we do not recommend or endorse any Service Provider. EZ-HE does not influence, control and/or has no legal right to control any customers decisions pertaining to winning bids, hiring and/or firing of Service Provider. We do not provide, post or advertise any ratings, reviews or profiles on our websites, nor do we verify the credit history, litigation history or legal standing regarding any Service Provider(s) and/or Customer(s). EZ-HE/Team EZ is not responsible, liable or under any obligation to investigate the quality of the work performed by the Service Provider, or responsible for any contracting or procurement decisions.

Service Provider acknowledges and agrees that construction and building requirements may vary from one location to another, any construction, renovation or repair work should only be undertaken by competent and qualified persons.and that you should confirm which laws and other requirements apply to you and any project you may be hired to undertake. By using our services, accepting Bid Packages and submitting bids/estimates, the Company agrees that it is solely the Service Provider's responsibility to evaluate the Service Provider's risks associated with the use, accuracy, usefulness, completeness, appropriateness or legality of any information, responses, writings or other materials that the Company submits, transmits or otherwise conveys as a Service Provider.

The Service Provider acknowledges and agrees that EZ-HE will not be liable for any damages, costs, expenses, penalties and other losses caused by or attributable in whole or in part to events or circumstances beyond EZ-HE's reasonable control including, without limitation, any act of God, any labor dispute, any cyber-attack, terrorism, real or apprehended insurrections, acts of war, government regulation, expropriation, fire, explosions, inclement weather, unavailability of supplies, unavailability of service, unavailability of any public infrastructure, network or resource, or attributable to any third party conduct, service and/or property.

Should the Service Provider have a dispute with any customer, employee, subcontractor, lender, creditor, supplier or any other user, you must resolve such dispute with such person(s) directly, and you hereby agree not to involve EZ-HE (or any of its shareholders, directors, officers, employees, service providers, vendors, agents or representatives) in any manner whatsoever in any such dispute, including, without limitation, requiring EZ-HE's attendance or participation (or that of any EZ-HE shareholder, director, employee, agent and/or representatives) in any legal proceeding.

The Service Provider agrees not to use or cause any robot, bot, spider, other automatic device, or computer program routine or manual process to monitor, duplicate, take, obtain, transfer, modify, use, reproduce, aggregate or copy EZhomeEstimates, any Customer Content, any Customer profiles, or any other content contained in Customer‘s bid package, the Website or any other publication of EZhomeEstimates. You shall not use or cause any device, software, or routine to interfere or attempt to interfere with the proper working of the Website.

THIRD PARTY CONTENT

Service Provider acknowledges that EZ-HE expressly disclaims any and all representations, warranties and conditions relating to content posted on Service Providers own website and/or any third party website in reference to services content, good, service or materials, including without limitation any implied warranties, availability, reliability and performance. EZ-HE does not screen, censor or verify the listings offered or otherwise made available on or through the Service Providers own website or provided in conjunction with the delivery of Services. Likewise, EZ-HE does not screen, censor or verify any commentary, reviews, ratings, testimonials, portfolio images/pics, feedback, endorsements, or any and other Content relating to any contractor, supplier or service provider posted by any third party website.

REGISTRATION AND ACCOUNT RESPONSIBILITIES

Participation and access to opportunities and benefits to our EZ Pro Network is restricted to persons who are at least 18 years old and can form legally binding contracts under applicable law. By registering for an EZ-HE Service Provider account through EZ-HE websites, you represent and warrant that you are eligible.

By registering for an EZ-HE account, including participating in EZ's Pro Network for the opportunity to provide professional services to EZ-HE's Customers, Service Providers represent and warrant that they, and the employees, agents, contractors, and subcontractors who may perform work for them, are properly and fully qualified and experienced, and licensed, certified, bonded, and insured, as required by applicable laws or regulations to which they may be subject in the jurisdiction(s) in which they offer their Professional Services and in relation to the specific job they are performing. Service Provider(s) understand and agree that registering for an EZ-HE account does not whatsoever guarantee that EZ-HE customer account holders will employ and/or hire them to undertake projects.

Service Provider may establish a maximum of one EZ Pro Network Registration Account and agree's to: (a) provide true, accurate, current and complete information about yourself and your business, and as otherwise prompted by the Website’s registration form (such information being referred to as the "Registration Data") (b) Authorizes EZ-HE/Team EZ to rely upon the truthfulness, completeness and accuracy of Service Providers serving our Customers. Service (c) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. For clarity, the provision of some Registration Data is required to establish an EZ-HE Registered Account. EZ-HE agrees not to sell, trade, rent or share such information with any third parties.

The Website and Services may not be accessed and/or used by persons: (i) who have had an Account terminated for failure to comply with the terms of this Agreement; (ii) who cannot form legally binding contracts in the jurisdiction in which they reside or are domiciled; (iii) who are under the legal of age of majority in the province or territory in which they reside; and/or (iv) who may not legally work or carry on business in the United States. Any such persons are prohibited from creating a new Account. By creating an Account, you represent and warrant that you have never had an Account which has been terminated by EZ-HE.

Service Provider is solely liable for any misstatements and/or misrepresentations in conjunction with the Registration Data. You acknowledge and understand that we may rely on your Registration Information and, in doing so, assume that it is accurate, current and complete. You acknowledge that if your Registration Data is untrue, inaccurate, not current or incomplete in any respect, we reserve the right to terminate this Agreement.

Service Provider understands and agrees that EZ-HE, in its sole discretion, may at any time, with or without cause, with or without prior notice and at any time, suspend, deactivate or terminate your Account, eliminating your participation in the EZ Pro Network. If deemed appropriate in our sole discretion, we may communicate to other users the reason(s) why your Account has been suspended, deactivated, or terminated.

In the event your registered account is terminated by EZ-HE, the Service Provider acknowledges and agrees:

You must wait a period of no less than twelve (12) months from the date of termination, pay any outstanding fee's and/or penalties owed and meet all current eligibility requirements outlined in this agreement when applying for reinstatement of your EZ-HE account;
For a period of no less than twelve (12) months from the date of termination, you agree not to contact, or solicit employment in any form or manner, from any active EZ-HE Customer(s), including active EZ-HE customer(s) you were previously hired by, and performed professional services for, by way of your participation in EZ-HE's, EZ Pro Network;
For a period of no less than twelve (12) months, from the date of termination, any and all applicaple fee's are to be paid to EZ-HE outlined in EZ-HE's fee schedule, should you be directly contacted in any manner, hired and/or employed by any and all active EZ-HE Customer(s) that during your time as an active EZ-HE Registered Account holder and EZ Pro Network participant were previously involved with, in one of the following ways; spoke with, met or emailed and/or provided any professional services, and/or received, estimated or submitted a bid on behalf of the specific active EZ-HE Customers Bid Package.
Any reinstatement of your Account (including, without limitation) or above mentioned privileges will be in EZ-HE sole discretion and subject to such conditions or additional requirements as EZ-HE may determine in its sole discretion.

Service Provider acknowledges that voluntary account termination is granted by emailing EZ-HE/Team EZ at: info@ezhomeestimates.com, with following subject line: "Voluntary Account Termination Request". When a Service Provider terminates their EZ-HE registered account voluntarily the following conditions apply;

(a) Date of termination is will be specified according to date of EZ-He's Confirmation email, acknowledging and granting your request, but no later than three (3) business days.

(b) must wait a minimum period of six (6) months to re-apply, pay if owed, any outstanding fee's and/or penalties owed and meet all current eligibility requirements outlined in this agreement when applying for reinstatement of your EZ-HE account; re-establishing your participation in EZ's Pro Network

As an Active Registered Service Provider Account holder of EZ-HE, you may not:

Refer to itself as an EZ Pro Network participant if they don't have an EZ-HE registered account or if your account has been suspended, blocked, deactivated or terminated voluntarily and/or at EZ-HE's discretion
Intentionally misrepresent yourself in conjunction with the Registration Data and acknowledge and understand that we may rely on your Registration Information and, in doing so, assume that it is accurate, current and complete;
Make any false or misleading representations and/or deceptive marketing practices, including, but not limited to; using a different person's account, misrepresent trade or skill experience and/or qualifications, misrepresent a project or information regarding a estimate/bid submission;
Engage in fraudulent conduct including but not limited to soliciting EZ-HE Customers to undertake any activity or engage in any conduct that's inconsistent or against the intended business practices of EZ-HE;
Engage in a manner that circumvents your obligation to pay all applicable fee's to EZ-HE;
Solicit, or contact in any manner or form, any EZ-HE Customers for whom a Bid Package was sent to you to bid/estimate;
Send any submitted bids and/or related questions directly to customer(s) of said Bid Package, unless written/Email request by Service Provider is authorized by EZ-HE/Team EZ and Customer(s)
Solicit, or contact in any form, EZ-HE Customer's for employment or any other use not specifically intended by EZ-HE business practices;
Can not take any inappropriate or illegal actions against EZ-HE/Team EZ and/or EZ-HE customer including the sending or posting content that is harassing, profane, obscene, hateful, defamatory, threatening, discriminatory or illegal, or that encourages or promotes inappropriate activity, conduct that is considered a criminal offense, or conduct that violates any law or give rise to civil liability;
Fail to perform Project Services as promised, unless the Customer Member fails to materially meet the terms of the mutually agreed-upon agreement for said project or refuses to pay, or a clear typographical error is made, or you cannot authenticate the Customer identity;
Submit a bid for a project with the intention of not following through of undertaking the project and/or paying EZ-HE's applicable fees;

As a registered account holder/ participant in EZ's Pro Network, the Service Provider acknowledges and agrees to comply to terms described above in association with registering as an EZ-HE account holder and participant in EZ's Pro Network. Service Provider is solely liable for any behaviors that violate the above terms. In the event the service provider is in violation and/or non-compliant as determined by EZ-HE/Team EZ, we reserve the right to terminate this Agreement.

TEXT MESSAGING & E-SIGNATURE

EZ-HE offers an Opt-in option for our SMS Text messanging service on all registered EZ-HE accounts, for both Service Providers and Customers. We may use this service to alert you been sent a Bid Package to bid/estimate, inform you of any changes of services or features, your bid/estimate is due,

EZ-HE Fee's

No fee's are charged for submitted Bid Package bids/estimates, however Service Providers who are officially and/or contractually hired at the sole discretion of the customer, you all required to pay EZ-HE all applicable fee's associated for said project according to fee schedule outlined in EZ-HE's fee agreement.

Service Provider is soley responsible for updating account billing information such as; contact, credit card or banking information. In the event that EZ-HE cannot charge a credit card, PayPal or other payment method for any reason, EZ-HE/Team EZ reserves all rights permissible under law to recover payment and all cost and expenses incurred, including reasonable attorneys' fees, in trying to collect payment. You unequivocally agree that all communication in relation to delinquent accounts or fees due will be made by electronic mail (Email) or by phone. Any such type of communication may be made by EZ-HE or by anyone on the behalf of EZ-HE, including but not limited to a third-party collection agent.

For a period of no less than twelve (12) months, from the date of termination, suspension or deactivation of Service Providers EZ-HE account, whether volunatrily or at the discretion of EZ-HE, should you be contacted in any manner, hired and/or employed by any and all active EZ-HE Customer(s) that during your time as an active EZ-HE Registered Account holder and EZ Pro Network participant were previously involved with, in one of the following ways; spoke with, met or emailed and/or provided any professional services, and/or received, estimated or submitted a bid on behalf of the specific active EZ-HE Customers Bid Package, Service Provider acknowledges their obligation to pay any and all applicaple fee's to EZ-HE currently outlined in EZ-HE's fee schedule for active EZ-HE account holders.

7. The Company agrees unless expressly authorized by EZhomeEstimates not to access, copy, duplicate use, reproduce, alter, modify, create derivative works, display, sell, re-sell, advertise or market with or otherwise exploit for any commercial, educational or other purpose any Customer Content, any Customer profiles, any Service Provider profiles, or any other content from the Website or EZhomeEstimates.

9. EZhomeEstimates is the owner and/or authorized user of any trademark and/or service mark, including, without limitation, the name "EZhomeEstimates", appearing on the Website and is copyright owner or licensee of the content and/or information on the Website.

10. EZhomeEstimates reserves the right to exercise any rights or remedies which may be available to it against the Company if the Terms and Conditions of this Agreement are violated by the Company. These remedies include, but are not limited to, revocation of EZ Pro Network access, benefits and participation (a) access to receive, view or bid on Customer Bid Packages (b) access to EZ's Handyman Customers project post's (b) use of services and Company agrees that the exercise of one remedy shall not preclude the availability of any other remedy.

11. THE COMPANY EXPRESSLY UNDERSTANDS AND AGREES THAT EZHOMEESTIMATES WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COMPENSATORY, CONSEQUENTIAL OR EXEMPLARY DAMAGES (EVEN IF EZHOMEESTIMATES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) (COLLECTIVELY, "DAMAGES"), RESULTING FROM: (A) THE USE OR INABILITY TO USE THE SERVICES; (B) THE COST OF ANY GOODS AND/OR SERVICES PURCHASED OR OBTAINED AS A RESULT OF THE USE OF THE SERVICES; (C) DISCLOSURE OF, UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR INFORMATION OR EZ-SP CONTENT; (D) EZ-SP CONTENT THE COMPANY MAY SUBMIT, RECEIVE, ACCESS, TRANSMIT OR OTHERWISE CONVEY THROUGH THE SERVICES OR THIS AGREEMENT; (E) STATEMENTS OR CONDUCT OF ANY MEMBER OR OTHER THIRD PARTY THROUGH THE SERVICES; (F) ANY OTHER MATTER RELATING TO THE SERVICES; (G) ANY BREACH OF THIS AGREEMENT BY EZHOMEESTIMATES OR THE FAILURE OF EZHOMEESTIMATES TO PROVIDE THE SERVICES UNDER THIS AGREEMENT; (H) ANY MEMBER CONTENT POSTED; OR (I) ANY OTHER DEALINGS OR INTERACTIONS THE COMPANY HAS WITH ANY SERVICE PROVIDER (OR ANY OF THEIR REPRESENTATIVES OR AGENTS). THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. In some jurisdictions, limitations of liability are not permitted. In such jurisdictions, some of the foregoing limitations may not apply to the Company.

TO THE EXTENT EZHOMEESTIMATES IS FOUND LIABLE FOR ANYTHING RELATED TO THIS AGREEMENT OR THE USE OF THE SERVICES, EZHOMEESTIMATES'S LIABILITY FOR DAMAGES WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

12. This Agreement and the relationship between the Company and EZ-HE will be governed by the internal laws of the State of New Jersey, notwithstanding the choice of law provisions or conflict of law analysis of the venue where any action is brought, where the violation occurred, where the Company may be located or any other jurisdiction. The Company agrees and consents to the exclusive jurisdiction of the state or federal courts located in Trenton, New Jersey and waives any defense of lack of personal jurisdiction or improper venue or forum non conveniens to a claim brought in such court, except that EZ-HE may elect, in its sole discretion, to litigate the action in the county or state where any breach by the Company occurred or where the Company can be found. The Company agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out or related to your use of the Service or this Agreement shall be filed within one (1) year after such claim or cause of action arose or will forever be barred.

INDEMIFICATION

13. The Company agrees to indemnify and hold EZ-HE/Team EZ and each of its affiliates and subsidiaries and each of their respective owners, officers, agents, managers, partners, employees, agents and representatives harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees (whether incurred in enforcing this Agreement or otherwise), made by any third party due to or arising out of the Service Provider's relationship or any and all use of EZ-HE.

MODIFICATIONS

15. The Company agrees that EZ-HE shall be entitled to payment from the Company for any and all out-of-pocket costs, including, without limitation, attorneys' fees, incurred by EZ-HE in connection with enforcing these Terms and Conditions and this Agreement or otherwise.

16. The Services may be subject to limitations, delays and other problems inherent in the use of the internet and electronic communications. EZhomeEstimates is not responsible for any delays, failures or other damage resulting from such problems.

17. This Agreement may not be re-sold or assigned by the Company. If the Company assigns, or tries to assign, this Agreement, such assignment or attempted assignment will be void and unenforceable. It will not be considered a waiver of EZ-HE's rights if EZ-HE fails to enforce any of the terms or conditions of this Agreement against the Company. In the event a court finds a provision in this Agreement to not be valid, the Company and EZ-HE agrees that such court should incorporate a similar provision that would be considered valid, with all other provisions remaining valid in the Agreement. No joint venture, partnership, employment or agency relationship exists between the Company and EZ-HE as a result of this Agreement or use of the Services.

18. The person agreeing to this Agreement and the Terms and Conditions on behalf of the Company hereby represents and warrants that he/she has the power and authority to bind the Company and that this Agreement and the Terms and Conditions constitutes a valid and binding agreement of the Company.
